Definitions
Vendor - CXWholesale is a trading name of CometX Internet Solutions Limited (CometX) who ownes and operates the CXWholesale.co.uk eCommerce website.
Customer - The person, representing a bona fide trading business, who has purchased goods via the CXWholesale website within the past 3 months or by telephone during the same period.
Site - Means www.CXWholesale.co.uk
The Site is intended only for bona fide traders who have pre-registered to access pricing information and ordering facilities. By registering you are affirming that you are legally able to represent the business whose details you provide to us during registration and furthmore you agree that all transactions through the Site shall be considered business to business only.
Minimum Order
Because we are a Trade Only Site there is a minimum order requirement of £100 (One Hundred Pounds) for the first order. Subsequent orders have no minimum, but attract a £5 small order charge if the total of goods ordered is less than £50.
Shipping and Handling
All orders are subject to a shipping and handling charge. These charges may change from time to time and the current rates are those calculated and displayed in the shopping basket during checkout.
Charges are based on consignment weight and are fixed up to 20 Kg then charged at an additional value per Kilogram thereafter. Current rates are published on the website from time to time and are available on request by telephone.
Free Postage
Shipping on all orders above a predefined value to UK Mainland destinations have the first 20 Kg shipped for free. This value is published on the home page of the website. Such free shipping is avaialble to Mainland UK destinations only.
Prices
All prices are shown and will be charged in GB Pounds Sterling.
Value Added Tax
All prices and shipping charges are show exclusive of Value Added Tax which will be added at the appropriate rate to all orders. For convenience, orders show zero rated items as a separate figure.
Orders from European Union Member States
If you are VAT registered (or the local equivalent) business in an European Union member state you must supply us with a copy of your VAT registration certificate (which shall be verified) before goods can be supplied zero rated. You are responsible for the declaration and payment of all appropriate taxes and if appropriate import duties in your own country.
Where your business is not VAT registered, you will be charged VAT at the United Kingdom ruling rates for the products which you have purchased.
Payment Terms
All goods must be paid for in full prior to shipment. Payment by cheque will result in around a 4 working day shipping delay while the cheque is cleared through our banking services.
Ownership
Ownership of and title to goods supplied does not transfer to the Customer until they have been paid for in full.
Product Descriptions
We endeavour to keep our descriptions of the products we sell as accurate as we possibly can and support them where ever practical with detail photography. By doing this, you can see exactly what you are buying and are able to judge quality for yourself so we hope therefore you can buy with more confidence.
Many of the products we sell are of a natural origin and so, sizes, colour, markings and shape may vary from the examples given on the website (particularly with items such as crystal based products where markings vary enormously from item to item - each is unique). However, we aim to be as consistent as we can in how we describe and represent them.
You should also be aware that not all computer systems used for browsing the internet are of the same standard and can be setup differently. In particular video monitors can render colours differently from that of the original photography. Where we think it necessary we include colour as part of our product description but if you are in any doubt, please call us, we are happy to answer your questions.
Billing
Your Credit Card is only billed once your order is confirmed and is assembled ready for despatch. Our website will not normally allow you to order items which are out of stock, however, if a situation arises where an items is subsequently found to be out of stock or fails to meet our quality standards, you will always be contacted and given the option to cancel, substitute or otherwise adjust the Order to suit you.
Note: We never accept orders from, or despatch orders to Post Office Box addresses.
Cheques & Postal Orders
We are an online business and so the normal means of payment is by Credit Card through our secure payment service. However, for the convenience of our customers we also accept payment in the form of Cheques or Postal Orders (in GB Pounds only).
PLEASE NOTE: Cheques and Postal Orders must be made Payable to CometX Internet Solutions Limited and Crossed "A/C Payee Only". We must receive your Cheque or Postal Order within 4 working days or your Order may be cancelled to release the reserved stock for other customers.
Delivery
We use a variety of reputable carriers to handle our order distribution. Once we deliver your consignment into the hands of the carrier, we have no further direct control over it. We can however, often supply a tracking number to help you determine the progress of your order towards its delivery. Some of our carriers actually send you an Internet tracking link automatically.
When Goods Arrive
We inspect everything before shipment and package all items carefully to minimise the risk of damage in transit. So, when your goods arrive, you should inspect the package for any signs of external damage and ensure that if there is any, it is reported to the carrier at the time of receipt, in writing. This can simply be done by annotating the signature sheet with the words 'Package Damaged' or similar. Failure to do this may affect your ability to subsequently claim that goods were damaged in transit as the carrier will refute the claim.
If goods are found to be damaged, you must keep all of the original packaging for inspection by us, or the carrier. Once we decide what action is required to resolve the problem we will tell you that you can dispose of the packaging.
If replacements are required, you, the customer are responsible for returning the damaged items to us and we will refund your reasonable postal costs - Goods should not be sent back using Royal Mail Special Delivery which would result in unreasonably high return costs. Once the damaged items are received, replacements will be despatched or refunds given as agreed with you.
Shortages
All orders are independantly picked, checked and inspected to ensure we don't miss anything. So in the very unlikely event that you find something is missing from your order, you must notify us immediately. This should be done within 2 working days of reciept and You can do this either through the Feedback or Enquiry system on the site or via telephone using the numbers given in the Contacts section. We will only deal with shortages notified after that period at our discretion.
Items Surplus to Requirement
If you decide you wish to return items which are surplus to requirement you have 3 working days to let us know. There will be a restocking and handling fee of 20% of the total item values levied upon issue of the credit note for such items.
Limit of Liability
Although the products sold on CXWholesale.co.uk would be considered harmless by most people, we have no control over what is done with them or how they are used by end customers. We therefore hereby specifically disclaim all liability for any loss, damage, injury or other negative consequence in whatever form, howsoever caused, which arises from the use (or indirect use) of any product advertised on, or supplied via the CXWholesale.co.uk website. Furthermore, no guarantee can be, nor is given, with regard to any spiritual or metaphysical qualities for any of the products we supply.
This disclaimer applies without exception to all of the following: CXWholesale.co.uk, its parent company CometX Internet Solutions Limited (the vendor), their respective Employees, Directors, Agents and Advisors. Under no circumstances will the vendor or any of it's Representatives Employees, Directors, Agents or Advisors, be liable for anything other than the cost of the items purchased.
It is the purchasers sole responsibility to ensure the products safely, sensibly and as they judge appropriate for their particular circumstances. You are also hereby advised to take full account of any warnings or guidance on usage which is given either on our website or in any manufacturers instructions supplied with any purchase.

All images and content on the CXWholesale website is copyright. The copyright is vested in our parent company CometX Internet Solutions Limited.
We allow Customers (as defined above) to use our product images for any product they have purchased from us. As a matter of policy, we do not allow our product descriptions to be copied or used.
This dispensation for customer use of images applies only to product images and only for products purchased directly from CXWholesale. This does not imply the transfer of any rights or ownership and we expressly forbid images to be passed on to any third parties for their use without our written permission.

Errors and Omissions
We try very hard to keep our site as up to date as possible and describe everything accurately. However, we are only human and may occasionally make a mistake. Therefore we reserve the right to change details of products, prices and shipping costs as we see fit, withdraw items from sale without warning and cancel a sale if we discover we have made an error - you will not be charged for any item or items witheld in this way.
LAW
All relevant terms and conditions, policies and notices shall be governed by and interpreted in accordance with the laws of Great Britain without giving effect to any principles of conflict of law. You hereby consent to the exclusive jurisdiction of the High Court of Great Britain in respect of any disputes arising in connection with orders placed on or use of this website, or any relevant terms and conditions, policies and notices or any matter related to or in connection therewith.
